Supplier Code of Conduct
Johnsonville, LLC and its subsidiaries (Frabelle Foods, PrimaBaguz and QB Food) and affiliates (hereafter referred as ‘Johnsonville’) are committed to conducting business in accordance with ethical standards and in compliance with the laws of the countries in which we produce, buy, and sell our products. We are committed to legal compliance and ethical business practices in all operations and will only conduct business with suppliers who share that commitment.
This Supplier Code of Conduct sets forth the principles and high ethical standards that we strive to achieve and expect our suppliers and vendors to work toward throughout the course of our business relationship.
Legal Compliance
We strive to comply with the law wherever we conduct business. We expect our suppliers and vendors to work diligently to conduct their business in full compliance with applicable laws, rules, and regulations. Johnsonville reserves the right to terminate business relationships with suppliers who do not comply with the law.
Labor and Human Rights
We are committed to observing fair labor practices and treating our team members (employees) with dignity and respect. We expect our supply partners to make the same commitments in their business practices by having controls in place that:
- Verify the employment eligibility of their employees.
- Respect the right of employees to freely associate.
- Ensure compliance with applicable wage and hour laws.
- Prohibit discrimination, harassment, forced labor, human trafficking and child labor.
Product Safety and Quality
We provide our customers with trusted food products. Therefore, we expect our suppliers to consider the safety and quality of our products to be of utmost importance and to comply with government and company food safety requirements, specifications, and requested documentation at all times.
Environment, Health and Safety
We are committed to conducting business in a safe and environmentally responsible manner. We expect our suppliers to operate in a manner that:
- Complies with all applicable laws, regulations and standards.
- Manages responsibly the impacts of their operations and products on the environment and the operations of Johnsonville.
- Makes continuous efforts to achieve a workplace that is free from work-related injuries and illnesses.
Sustainability
Johnsonville uses the principles of sustainable development to create the best products, produced by the best people, while eliminating or reducing waste in our business through the sustainable principles that impact People, Planet and Profit. We continue to enrich people’s lives by providing premium products and being a steward of the environment and the communities in which we operate.
We are committed to reducing our overall impact on the environment through the use of technology, learning and implementation of a comprehensive sustainability process and program, and we expect our suppliers to also share this commitment.
Confidential Information
Suppliers with access to confidential information from Johnsonville should not disclose such information to any other person without our advance written consent. Confidential information includes, but is not limited to:
- Product formulas and pricing.
- Production technologies and processes.
- Engineering and technical designs.
- Production and supply costs.
- Operation policies, practices and systems.
- Customer identification and information.
The obligation to preserve Johnsonville’s confidential information is ongoing, even after the business relationship ends. Johnsonville will respect and safeguard the confidential information of our suppliers.
Cyber Security
We encourage all our suppliers and vendors to review their current cybersecurity practices and ensure they are equipped to identify, mitigate, and respond effectively to potential threats. We conduct supplier security risk assessments annually to ensure compliance and safeguard the integrity of our domestic and international operations. As a valued partner, you may be selected to be part of that assessment and will receive feedback based on the findings.
In the event of a cyber security event, we expect our suppliers and vendors to notify as us as soon as a breach is discovered or suspected, but no more than forty-eight (48) hours after. We also recommend that our suppliers carry cyber insurance to allow for the continuation of their, and their partners, operations in the event of a cyber-attack.
Gifts, Favors and Entertainment
Gifts, favors and entertainment are not needed to conduct business with Johnsonville, and may lead or appear to lead to a conflict of interest. We discourage items that could appear to be excessive or could appear to influence a business decision. Gifts of a nominal value will be shared with the Johnsonville membership, not with individual members. Members and their immediate families may never accept gifts of money from a supplier, including checks, gift certificates, gift cards, bribes, or kickbacks. We expect each supplier to conduct its business in accordance with the highest ethical standards and that all business dealings will be fair, legal and honest.
Pro-Competition
Johnsonville is a pro-competition company. We do not engage in unethical, predatory, or illegal practices in our pursuit of becoming the best company in the world, nor will we tolerate it from our suppliers. We believe in free and open competition, and strictly abide by all applicable fair competition and antitrust laws in the many countries that Johnsonville conducts business in.
We expect all business partners to live up to these standards and to do the right thing. Suppliers/vendors that fail to observe and abide by these standards may result in Johnsonville ceasing to do business with them.
If needed and required for regulatory purposes, as a business partner you agree to demonstrate compliance with this Code via specific questionnaire/tool, assessment as requested by Johnsonville or its subsidiaries or affiliates.
If required, you agree to cooperate and supply the necessary information to Johnsonville during its due diligence process to fulfill the obligations of applicable legal requirements.
